BULK ORDER TERMS & CONDITIONS

These Bulk Order Terms & Conditions (“Terms”) govern all bulk lithium battery cell purchases made through United Lithium (“United Lithium,” “we,” “us,” or “our”). By requesting a quote, submitting payment, or placing an order, the customer (“Customer,” “you”) agrees to be bound by these Terms.
These Terms apply exclusively to commercial, industrial, and OEM transactions involving bulk lithium battery cells.
1. Scope of Business
United Lithium supplies lithium battery cells in bulk quantities for:

OEM manufacturing

Commercial and industrial applications
-
Battery pack assembly and energy systems
United Lithium does not operate as a consumer retail seller. All transactions are considered business-to-business (B2B) unless explicitly agreed otherwise in writing.
2. Quotations & Pricing
All pricing is provided via written quotation and is subject to:

Product availability
-
Quantity (MOQ)
-
Shipping method
-
Regulatory requirements
-
Market conditions
Quotations are valid only for the period stated or, if not stated, for a limited time at United Lithium’s discretion.
Pricing may change due to:

Manufacturer cost changes
-
Freight or fuel surcharges
-
Tariff or regulatory updates
-
Currency fluctuations
Quotes are not binding until accepted and paid.
3. Minimum Order Quantities (MOQ)
Most products are subject to a minimum order quantity (MOQ).

Typical MOQs begin at approximately 250 cells

MOQs vary by cell size, format, and chemistry
-
Final MOQ requirements will be stated in the quotation
United Lithium reserves the right to adjust MOQs based on availability or logistics.
4. Order Acceptance & Payment
Orders are considered accepted only when:

A written quotation is approved
-
Payment is received and confirmed
Accepted payment methods and terms will be stated in the invoice or quotation.
Failure to remit payment may result in order cancellation or delay.
5. Order Finality & Modifications
Once an order has been:

Paid
-
Entered processing
-
Submitted to production
-
Prepared for shipment
It becomes non-cancelable and non-modifiable.
Requests for changes after payment are not guaranteed and, if approved, may result in:

Additional costs
-
Extended lead times
-
Revised pricing
6. Lead Times & Availability
All lead times provided are estimates only.
Lead times may vary due to:

Manufacturing schedules
-
Supply chain constraints
-
Shipping method selection
-
Regulatory or carrier delays
United Lithium does not guarantee specific delivery dates unless explicitly stated in writing.
7. Shipping Terms
Unless otherwise specified in writing, shipments are provided under DDP (Delivered Duty Paid) terms.
Shipping origin varies by order and may include:

Overseas manufacturing partners

Domestic facilities
-
Combined logistics pathways
Full shipping terms are governed by United Lithium’s Shipping Policy, which is incorporated by reference.
8. Hazardous Materials Disclaimer
Lithium battery cells are classified as regulated hazardous materials.
Customer acknowledges and agrees that:

Specialized packaging and documentation may be required

Regulatory inspections may occur
-
Shipping timelines may be impacted by compliance requirements
United Lithium is not responsible for delays caused by regulatory authorities or carriers.
9. Product Specifications & Use Responsibility
All specifications, performance data, and documentation provided are:

Typical or nominal values
-
Subject to manufacturing tolerances
-
Provided for reference only
Customer is solely responsible for:
-
Application suitability
-
Pack design
-
BMS selection
-
Thermal management
-
Safety compliance
-
Regulatory compliance in final use
United Lithium does not assume responsibility for downstream integration or system design.
10. Inspection & Acceptance
Customer must inspect shipments promptly upon receipt.
Failure to notify United Lithium of verified defects within the timeframe specified in the Returns & Refunds Policy constitutes acceptance of the goods.
11. Returns, Refunds & Defects
Returns, refunds, and defect claims are governed exclusively by United Lithium’s Returns & Refunds Policy, which is incorporated by reference.
No returns are accepted except as expressly stated in that policy.
12. Limitation of Liability
To the maximum extent permitted by law:

United Lithium shall not be liable for indirect, incidental, or consequential damages

Liability shall not exceed the amount paid for the affected goods
This includes, but is not limited to, loss of profits, project delays, or downstream damages.
13. Force Majeure
United Lithium shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

Natural disasters
-
Government actions
-
Supply chain disruptions
-
Carrier failures
-
Regulatory changes
14. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
